Terms of Service
1. Acceptance of Terms
By accessing or using any CAIBots service — including caibots.com, our AI agent platform, free bot deployment, or any subscription service — you agree to these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Services Description
CAIBots provides conversational AI agent development, deployment, and management services including: Free AI agent deployment; Custom AI agent development (build fee model); Fully managed AI-as-a-Service deployments; CaiOS platform licensing; and Enterprise autonomous agent infrastructure.
We reserve the right to modify, suspend, or discontinue any service with reasonable notice.
3. Account Registration
Some services require account registration. You agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access at contact@caibots.com.
4. Acceptable Use
You agree not to use CAIBots services to violate any applicable law; transmit spam or engage in deceptive practices; distribute malware; infringe intellectual property rights; harass or harm individuals; reverse engineer our platform; resell our services without authorization; or build competing products without express written permission.
5. Intellectual Property
All CAIBots software, platform technology, and proprietary methodologies remain the exclusive property of CAIBots. You retain ownership of content and data you provide. For custom AI agent builds, intellectual property ownership is governed by the specific service agreement. Under a CaiOS Enterprise license, you own the agents you build; the underlying CaiOS platform software remains CAIBots property.
6. Payment & Billing
Subscription fees are billed monthly or annually as agreed. Build fees are invoiced per milestone or on project completion. Usage-based fees are calculated monthly. All fees are non-refundable unless otherwise stated. Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for accounts with overdue balances exceeding 30 days after written notice.
7. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential. Confidentiality obligations survive termination of these Terms for three (3) years.
8. Disclaimers & Warranties
CAIBOTS SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAIBOTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. AI-generated outputs may contain inaccuracies; you are responsible for reviewing agent outputs before acting on them.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAIBOTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total liability for direct damages shall not exceed the greater of: (a) the amount you paid to CAIBots in the three months preceding the claim, or (b) one hundred US dollars ($100).
10. Termination
Either party may terminate a subscription service with 30 days written notice. CAIBots may terminate for cause immediately upon written notice for material breach. Upon termination: access ceases; you remain responsible for fees incurred; we provide a 30-day data export window; and Sections 5, 7, 8, 9, and 11 survive termination.
11. Governing Law
These Terms are governed by the laws of the State of New Jersey, United States. Any disputes shall be resolved through binding arbitration under AAA Commercial Arbitration Rules in Princeton, New Jersey, except that either party may seek injunctive relief in courts of competent jurisdiction for intellectual property matters.
